1.1 These Terms and Conditions (hereinafter "T&Cs") apply to all contracts concluded between GATE READY Limited, 31/F, Tower Two, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong (hereinafter "Provider") and the customer (hereinafter "Customer") via the Provider's website.
1.2 These T&Cs apply exclusively. Any deviating, conflicting, or supplementary terms and conditions of the Customer shall only become part of the contract if and to the extent that the Provider has expressly agreed to their application.
2.1 The subject matter of these T&Cs is the sale and delivery of digital products and services, in particular premium memberships and access credentials for various online services (hereinafter collectively referred to as "Products").
2.2 The Products offered by the Provider are described exhaustively on the website. The Provider reserves the right to make changes to the range of Products.
3.1 The presentation of the Products on the website does not constitute a legally binding offer, but an invitation to submit an offer.
3.2 The Customer may submit an offer via the integrated online ordering system. After entering their personal details, the Customer submits a legally binding offer to enter into a contract for the Products in the shopping cart by clicking the "Buy now" button.
3.3 The Provider may accept the Customer's offer within five days by sending the Customer an order confirmation by email or by delivering the ordered Products to the Customer.
4.1 The prices stated are final prices and include statutory VAT.
4.2 The Customer may pay by credit card, PayPal, or other payment methods offered on the website.
4.3 Payment is due immediately upon conclusion of the contract, unless otherwise agreed.
5.1 Digital content is delivered by sending the corresponding access credentials or download links by email to the email address provided by the Customer.
5.2 Delivery generally takes place immediately after receipt of payment, but no later than within 24 hours.
5.3 The Customer is responsible for ensuring that their email inbox is functioning and that emails from the Provider are not blocked by spam filters.
6.1 The Customer generally has a statutory right of withdrawal.
6.2 For digital content not delivered on a physical data carrier, the statutory right of withdrawal may expire pursuant to § 356 para. 5 BGB as soon as we have begun performing the contract, the Customer has expressly consented to performance beginning before the withdrawal period expires, and the Customer has confirmed that they thereby lose their right of withdrawal. Regardless, we review incoming requests individually for statutory claims, technical problems, and possible goodwill solutions.
6.3 If the Customer has questions about access, activation, charges, or an intended withdrawal, they are asked to contact the Provider's support team via live chat first, before initiating a payment reversal (e.g. chargeback, PayPal dispute, Klarna dispute, or other charge reversal).
6.4 A payment reversal initiated without a valid legal basis may, in individual cases, be considered unjustified or abusive and may be reviewed legally. The Customer's statutory rights, particularly in the case of a valid withdrawal, valid termination of the contract, rights relating to defects, or other mandatory consumer protection rights, remain unaffected.
- You can notify us of your request to return via the online withdrawal form or live chat. - Refunds required by law or contract are generally issued within 7 business days via the original payment method.
## 7. Statutory liability for defects, warranty
7.1 Statutory liability for defects applies.
7.2 The Provider does not provide the Customer with any warranties in the legal sense, unless these are expressly promised in the order confirmation.
7.3 In the event of access, activation, or functionality problems, the Provider must first be given the opportunity to investigate and provide subsequent performance pursuant to §§ 327i, 327l BGB, where required by law.
7.4 If the Provider incurs additional bank, payment, or processing costs as a result of an unjustified payment reversal culpably caused by the Customer, the Provider may claim these as damages. The chargeback and processing costs regularly charged for this purpose by payment service providers or their banking and payment partners, in particular Klarna, PayPal, credit card companies, or other acquirers, generally amount to at least EUR 43.75. The Customer is expressly permitted to prove that no damage, or substantially less damage, has occurred.
8.1 The Provider shall be liable without limitation for damages arising from injury to life, limb, or health that are based on a breach of duty by the Provider, its legal representatives, or vicarious agents, as well as for other damages based on an intentional or grossly negligent breach of duty by the Provider, its legal representatives, or vicarious agents.
8.2 For damages based on a slightly negligent breach of material contractual obligations, the Provider shall be liable only for the foreseeable damage typical for the contract, unless the Customer's claims for damages arise from injury to life, limb, or health.
The collection, processing, and use of the Customer's personal data is carried out in accordance with the Provider's privacy policy.
## 10. Applicable law and place of jurisdiction
10.1 These T&Cs and all legal relationships between the Provider and the Customer are governed by the law of the Federal Republic of Germany, excluding international uniform law, in particular the UN Convention on Contracts for the International Sale of Goods.
10.2 If the Customer is a merchant within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship shall be the Provider's registered office in Leeds, England.
11.1 If any individual provisions of these T&Cs are or become invalid, this shall not affect the validity of the remaining provisions.
11.2 Amendments or additions to these T&Cs must be made in writing. This also applies to the waiver of this written form requirement.
